Exhibit A to the Revomo SaaS Subscription Agreement between Licensor and the Subscriber named in Section 1. Incorporation, order of precedence and the Exhibits that apply are stated in the Agreement; capitalized terms have the meanings given there.

1 Subscriber and Contacts

For purposes of the Notice provision of the Agreement, notices must be delivered to the addresses below. Email alone is not a valid method of notice under the Agreement; email addresses are recorded for convenience and copy service only.

2 Term and Dates

Target implementation dates are recorded in the Activation & Success Plan, not here. They depend on the Subscriber dependencies recorded there and move when those move; a signed order should not carry a date that is subject to adjustment.

3 Applications and Fees

Subscriber subscribes to the applications marked below (collectively, the “Services”) at the published Growth list rates. Applications not marked are not licensed and may be added only by a subsequent Order Form or written amendment. Any discount is recorded once, on the subscription line, so the list value, the discount and the contracted value stay on the record.

3.1 Applications

Every published list fee is shown; only the selected applications count. The published monthly rates on the pricing page are these annual fees divided by twelve. Enterprise-scale deployments are scoped separately and recorded in Section 7.1.

3.2 Support

Support is delivered under Exhibit B. Severity definitions and response-time targets are set out in Exhibit B, Sections 6.2 and 6.3. Availability Commitment, Service Credits and the Chronic Failure termination right are governed by Exhibit B and are not varied by this Order Form.

3.3 Fees

Totals exclude taxes. There are no usage-based charges under this Order Form; additional capacity is handled under Section 4.3. The contracted annual subscription is equivalent to$0 per month. Optional Professional Services are planned in the Activation & Success Plan and contracted by a statement of work or an Order Form amendment.

3.4 Included in the Subscription Fees

• Standard Delivery, as scoped in the Activation & Success Plan (Section 5).
• Standard Support in accordance with Exhibit B (Service Level Agreement), Section 6.
• Standard Customer Success: onboarding transition, adoption guidance, value realization reviews and periodic business reviews appropriate to the deployment.
• Unlimited Authorized User seats. No per-seat fee applies.
• Updates, enhancements, bug fixes and upgrades made generally available during the Term.
• Product documentation, user guides and access to the Revomo user community.
• Capabilities delivered within the subscribed applications, including Margin Lens, Rule Engine, Notebooks, Watchlist, Growth Maps, Ontology and Data Pipelines.

4 Included Capacity and Additional Capacity

4.1 Standard Operating Capacity

Standard Operating Capacity is included in the Subscription Fees, in accordance with the Revomo Standard Capacity Schedule applicable to the subscribed applications, incorporated by reference as of the Order Form Date. Authorized Users are unlimited; credentials are issued to named individuals, and account sharing or concurrent use of a single credential is not permitted.

Subscriber will use the Services for the commercial, pricing, revenue and margin management purposes supported by the subscribed applications, and not as a general-purpose data warehouse or general-purpose compute platform. Remedies for excessive or abusive usage are governed by the Agreement and are not varied by this Order Form.

5 Standard Delivery and Activation

6 Commercial Terms

Terms recorded in this Section are commercial in nature and do not modify the body of the Agreement. Any change to the body of the Agreement must be recorded in Section 7.2.

6.1 Payment terms

Invoices go to the billing contact in Section 1.2. Additional capacity is invoiced annually in advance, co-terminous with the Subscription, unless Section 7.1 states otherwise.

6.3 Reference and marketing consideration

• Provide a written or verbal testimonial within 6 months of the Service Start Date.
• Participate in one case study, in a format mutually agreed, within 12 months of the Service Start Date.
• Permit Licensor to reference Subscriber’s name, logo and high-level use case, subject to Subscriber’s reasonable review and approval and to the Publicity provision of the Agreement.

7.2 Express modifications to the Agreement

Under the Order of Precedence provision of the Agreement, an Order Form modifies the body of the Agreement only if it (a) expressly identifies the Section being modified by number and (b) states the Parties’ clear intent to override that provision. The Parties expressly agree that the Sections listed below are modified as stated, solely with respect to this Order Form. If no rows are completed, the body of the Agreement controls in full.

By signing below, each Party agrees to this Order Form and confirms it is bound by the Agreement into which this Order Form is incorporated.
